01
Purpose and scope
These general terms and conditions (the "Terms") govern access to and use of the Investor & Co platform, comprising the public website, the client workspace, the institution register, the analytical modules and any associated services (together, the "Platform").
By creating an account, accepting these Terms at registration or otherwise using the Platform, the account holder (the "Client") enters into a binding agreement with Investor & Co (the "Provider"). A person who does not accept these Terms must not create an account or use the Platform.
02
Nature of the service
The Platform is a technology and information service. It provides structuring tools, financial modelling, scoring models, document assembly, capital-raising workflows and a register of financial institutions.
The Provider is not a bank, lender, deposit-taker, credit rating agency, investment adviser, broker, custodian or payment institution. Nothing on the Platform constitutes regulated financial advice, a solicitation, an offer of finance, a rating, an audit opinion or a legal or tax opinion. Where local authorisation is required for lending, advice, custody or payment services, transactions are executed with duly licensed partners.
03
Eligibility and account creation
The Platform is intended for professional, corporate and institutional users. By registering, the Client represents that they are at least eighteen years old, act with authority to bind the organisation named in their profile, and are not subject to sanctions or restrictions that would prohibit the relationship.
- Registration information, including name, country, sector of activity, function and organisation, must be accurate, current and complete.
- Credentials are personal. Accounts may not be shared, resold, or accessed by any person other than the registered holder.
- The Client is responsible for all activity carried out under their credentials and must notify the Provider without delay of any suspected compromise.
- The Provider may refuse, suspend or close an account where information is false, incomplete, or where compliance screening so requires.
04
Licence of use and permitted purpose
The Provider grants the Client a personal, non-exclusive, non-transferable and revocable right to use the Platform for internal professional purposes for the duration of an active subscription.
- Reverse engineering, decompilation, scraping, bulk extraction, automated harvesting or reproduction of the institution register or any dataset is prohibited.
- Resale, sublicensing, white-labelling or commercial redistribution of Platform outputs to third parties is prohibited without prior written agreement.
- Use of the Platform to circumvent sanctions, launder proceeds, finance terrorism, commit fraud or misrepresent a project is strictly prohibited.
- Penetration testing, denial-of-service activity and any attempt to access another Client's data are prohibited.
05
Client data and documents
The Client retains all ownership of the project data, financial information and documents uploaded to their workspace ("Client Content"). The Client grants the Provider a limited licence to host, process, version, index and display Client Content strictly for the purpose of delivering the service.
The Client warrants that it holds the rights and, where applicable, the consents necessary to upload Client Content, and that such content does not infringe third-party rights or contain unlawful material.
06
Analytical outputs and human review
Scores, ratings, financial models, readiness assessments, matching results, memoranda and other generated documents are analytical decision-support outputs produced from data supplied by the Client and from third-party sources.
They are estimates, not guarantees, and are subject to professional, legal and, where relevant, regulatory review before use in any transaction. The Client remains solely responsible for the investment, credit and financing decisions it takes, and for verifying every figure and statement before circulation to third parties.
07
Capital raising, submissions and introductions
Where the Client uses submission, shortlist or introduction features, the Client authorises the transmission of its dossier and the identified information to the selected institutions or investors.
The Provider does not guarantee any response, meeting, indicative offer, term sheet, funding decision, amount, pricing or timetable. Institutions act independently and apply their own mandates, credit policies and compliance requirements.
08
Subscriptions, fees and renewal
Access to the workspace modules requires an active subscription plan. Plan features, limits and prices are displayed inside the Platform before activation and apply from activation.
Fees are payable in advance and, unless required by applicable law, are non-refundable for a period already commenced. Subscriptions continue until cancelled in accordance with the plan terms; downgrading or expiry restricts access to modules while preserving stored Client Content in accordance with the retention policy.
09
Compliance obligations of the Client
- The Client shall provide identification, beneficial ownership and supporting documents requested for know-your-customer and anti-money-laundering purposes.
- The Client shall keep such documents current and notify the Provider of material changes in ownership, control, sanctions status or litigation.
- The Provider may suspend workflows pending completion of screening, and may decline to process a file where compliance obligations are unmet.
10
Confidentiality
Each party shall treat as confidential the non-public information of the other party to which it obtains access, use it only for the purposes of this agreement, and protect it with no less care than it applies to its own confidential information. This obligation survives termination for five years, and indefinitely for information protected as a trade secret.
11
Intellectual property
The Platform, its interfaces, models, scoring methodologies, document templates, databases, trade marks and the Investor & Co name and emblem remain the exclusive property of the Provider or its licensors. No right is granted other than the licence of use expressly set out in these Terms.
12
Availability, security and continuity
The Provider applies role-based access control, encryption in transit and at rest, segregation of duties and append-only audit ledgers for document, permission and status events.
The Platform is provided on a commercially reasonable availability basis. Maintenance windows, third-party outages and force majeure events may interrupt access. No absolute guarantee of uninterrupted or error-free operation is given.
13
Warranties and disclaimer
Save as expressly stated, the Platform and all outputs are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, the Provider excludes implied warranties of merchantability, fitness for a particular purpose, accuracy of third-party data and non-infringement.
14
Limitation of liability
To the fullest extent permitted by law, the Provider shall not be liable for loss of profit, loss of funding, loss of opportunity, loss of goodwill, indirect or consequential loss, or for decisions taken on the basis of analytical outputs.
The Provider's aggregate liability arising out of or in connection with the service in any twelve-month period shall not exceed the subscription fees actually paid by the Client during that period. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or wilful misconduct.
15
Suspension and termination
The Provider may suspend or terminate access with immediate effect in the event of breach of these Terms, unlawful use, non-payment, compliance failure or risk to the integrity of the Platform. The Client may terminate at any time by cancelling the subscription and closing the account.
On termination, the licence of use ends. Client Content is retained or deleted in accordance with the Privacy Policy and applicable record-keeping obligations.
16
Amendments
The Provider may amend these Terms to reflect changes in the service, in law or in regulatory practice. Material amendments are notified in the workspace before they take effect. Continued use after the effective date constitutes acceptance of the amended Terms.
17
Governing law and disputes
These Terms are governed by the laws applicable at the Provider's place of establishment, without prejudice to mandatory consumer or local protections. The parties shall first seek an amicable settlement. Failing resolution within thirty days, the dispute shall be submitted to the competent courts of that jurisdiction, or to arbitration where separately agreed in writing.
18
Miscellaneous
- If a provision is held unenforceable, the remainder of the Terms continues in full force.
- Failure to enforce a right does not constitute a waiver of that right.
- The Client may not assign this agreement without the Provider's written consent.
- These Terms, together with the Privacy Policy, the Cookie Policy and the plan terms, form the entire agreement between the parties.
Questions on these Terms, on a specific clause, or on a negotiated enterprise agreement should be addressed to the Investor & Co legal and compliance function through the contact page. Requests are logged and answered in writing.
